Article 1: Object
The terms and conditions of sale described below detail the rights and obligations of EuropeSoftwares with respect to its delivery of CDs by mail.
Any performance performed by EuropeSoftwares on behalf of a customer therefore implies that the customer has been made aware of these terms and conditions of sale and that he fully adheres to these same conditions. The customer thus renounces any application of his possible terms and conditions of purchase.
The service consists of mailing the latest versions of all the software as well as bonuses, engraved on a CD, from the company EuropeSoftwares. EuropeSoftwares is still trying to reduce itsprocessing and delivery times as quickly aspossible, but is dependent on international postal agencies, and is therefore unable to guarantee and commit to short deadlines for international deliveries.
Article 2: Price
Any service ordered by a customer to EuropeSoftwares is due by that same customer, including in case of cancellation by the customer before the service is performed.
Article 3: Payment terms
Benefits are settled before any benefit is made. The paymentis done: either by cheque or by credit card. No mailing of cash will be accepted.
Article 4: force majeure
The liability of EuropeSoftwares cannot be implemented
if the non-performance, or retard in theperformance, of the ordered service or
of any of the obligations described in these terms and conditions of sale
arises from a case of force majeure. As such, force majeure means any external,
unpredictable and unrepresible eventwithin the meaning of Article 1148 of the
Civil Code.
Thus, EuropeSoftwares is not responsible, especially in the event of
an accident, server error, computer failure, as well as in the event of total
or partial strikes of any kind impeding the properoperation of theactivities of
the company EuropeSoftwares,such as strikes of transport, postal
services, energy suppliers, telecommunications, etc.
The occurrence of a case of force majeure has the effect of suspending the
performance by EuropeSoftwares of the contractual obligations of the
order or the present terms and conditions of sale.
Article 5: Material competence
Any dispute relating to the interpretation and execution of
these terms and conditions of sale issubject to French law.
In the absence of an amicable resolution, the dispute will be brought before
the Strasbourg Commercial Court (FRANCE) - except in the case of a dispute with
an individual, in which case the dispute will be brought before the civil court
or thecommercial tribunedepending on the origin of the dispute.
